Apollo Hospitals plans to appoint Shobana Kamineni as Executive Chairperson of Apollo Healthtech as the healthcare giant advances the demerger and planned listing of its digital health and pharmacy businesses

Apollo Hospitals Enterprise said it plans to appoint Shobana Kamineni as Executive Chairperson of Apollo Healthtech, the soon-to-be-listed healthcare and pharmacy platform being created through the demerger of the group’s digital health and pharmacy businesses.

The appointment, subject to shareholder approval and the effectiveness of the demerger scheme, comes as Apollo Hospitals pushes ahead with a major restructuring aimed at unlocking value from its fast-growing omnichannel healthcare operations.

Kamineni, a promoter-director on the board of Apollo Hospitals, is expected to steer Apollo Healthtech through its next phase of expansion and eventual stock market debut. The company has previously indicated that it expects the demerger and separate listing of Apollo Healthtech to be completed by late FY27.

Apollo Healthtech will house Apollo’s omnichannel pharmacy distribution, digital health and wholesale pharmacy distribution businesses, bringing together some of the group’s fastest-growing consumer healthcare assets under a single entity.

Governance framework unveiled

Alongside the leadership announcement, Apollo Hospitals also outlined the proposed governance structure for Apollo Healthtech.

The company said Apollo Healthtech’s board will comprise 12 directors, with at least half of them being independent directors in line with Securities and Exchange Board of India (SEBI) regulations.

The governance framework also sets out nomination rights for promoters and investors. Apollo said such rights would cease if the shareholding of either investor Rasmeli or the promoter group falls below the proposed threshold of 10 per cent.

The company said the framework has been designed to ensure strong corporate governance standards as Apollo Healthtech prepares to operate as an independently listed company.

Demerger and listing plans

Apollo Hospitals announced plans last year to separate and list its digital health and pharmacy operations as part of a broader reorganisation strategy.

The proposed Apollo Healthtech entity will combine Apollo HealthCo, which operates the group’s omnichannel pharmacy and digital healthcare businesses, with wholesale pharmacy distributor Keimed Private.

During its latest earnings commentary, Apollo Hospitals said it expects Apollo Healthtech to generate annualised revenue of around Rs 25,000 crore by the time of listing, positioning it as one of India’s largest integrated healthcare distribution and digital health platforms.

The company has targeted completion of the demerger and listing process by December 2026, subject to regulatory and shareholder approvals.
